GENERAL TERMS AND CONDITIONS<\/strong><\/p>\n

for the Use of the Website and the Services of Executive Content EOOD<\/strong><\/p>\n

(EU Cross-Border & GDPR-Aligned Version)<\/em><\/p>\n

I. Provider and Scope of Services<\/p>\n

    \n
  1. \n

    Executive Content EOOD<\/strong>, a company duly incorporated under the laws of the Republic of Bulgaria, provides consulting services in the fields of thought leadership<\/em>, content strategy<\/em>, content creation<\/em>, and editorial services<\/em>, including the drafting, editing, and refinement of written materials (the \u201cServices<\/strong>\u201d).<\/p>\n<\/li>\n

  2. \n

    The scope, content, and format of the Services are individually tailored to the needs of each Client and agreed on a case-by-case basis.<\/p>\n<\/li>\n

  3. \n

    Services are performed by Magdalena Ivanova<\/strong> or by another qualified person designated by her under the Provider\u2019s responsibility.<\/p>\n<\/li>\n<\/ol>\n

    II. Purpose and Applicability<\/p>\n

      \n
    1. \n

      These General Terms and Conditions (\u201cTerms<\/strong>\u201d) govern all contractual and pre-contractual relationships between:
      (a) any natural or legal person accessing the website executivecontent.bg<\/strong> and\/or purchasing Services (\u201cClient<\/strong>\u201d), and
      (b) Executive Content EOOD<\/strong>, UIC 208044214, registered office: 6 Vincent van Gogh Street, 1407 Sofia, Republic of Bulgaria, email: info@executivecontent.bg<\/a> (the \u201cProvider<\/strong>\u201d).<\/p>\n<\/li>\n

    2. \n

      These Terms apply to both B2B<\/strong> and B2C<\/strong> relationships, subject to mandatory consumer protection rules where applicable.<\/p>\n<\/li>\n<\/ol>\n

      III. Definitions<\/p>\n

        \n
      1. \n

        \u201cWebsite\u201d<\/strong> means executivecontent.bg.<\/p>\n<\/li>\n

      2. \n

        \u201cAgreement\u201d<\/strong> means any contract for the provision of Services concluded between the Provider and the Client, including distance contracts within the meaning of EU consumer law.<\/p>\n<\/li>\n

      3. \n

        \u201cConsumer\u201d<\/strong> means a natural person acting outside their trade, business, or profession, within the meaning of Directive 2011\/83\/EU and the Bulgarian Consumer Protection Act.<\/p>\n<\/li>\n

      4. \n

        \u201cGDPR\u201d<\/strong> means Regulation (EU) 2016\/679 (General Data Protection Regulation).<\/p>\n<\/li>\n<\/ol>\n

        IV. Electronic Communications and Contract Formation<\/p>\n

          \n
        1. \n

          All declarations, acceptances, and confirmations made via the Website or other electronic communication channels constitute electronic statements<\/strong> within the meaning of applicable EU and Bulgarian law and are legally binding.<\/p>\n<\/li>\n

        2. \n

          An Agreement is deemed concluded when the Provider confirms acceptance of the Client\u2019s Order or inquiry via electronic means.<\/p>\n<\/li>\n

        3. \n

          The Provider reserves the right to refuse an Order prior to contract conclusion without obligation to state reasons.<\/p>\n<\/li>\n<\/ol>\n

          V. Cross-Border Contracting<\/p>\n

            \n
          1. \n

            The Services are offered without territorial limitation within the European Union and may be accessed by Clients located in other jurisdictions, subject to applicable local laws.<\/p>\n<\/li>\n

          2. \n

            Nothing in these Terms shall deprive Consumers of mandatory protections granted under the laws of their habitual residence, in accordance with Article 6 of Regulation (EC) No 593\/2008 (Rome I)<\/strong>.<\/p>\n<\/li>\n<\/ol>\n

            VI. Fees and Payments<\/p>\n

              \n
            1. \n

              Prices for Services are communicated individually and may be quoted in EUR or BGN.<\/p>\n<\/li>\n

            2. \n

              Payments are made by bank transfer or other agreed electronic payment methods.<\/p>\n<\/li>\n

            3. \n

              Any bank or intermediary fees related to cross-border payments shall be borne by the Client.<\/p>\n<\/li>\n

            4. \n

              Advance payments may be required and are deemed accepted once paid.<\/p>\n<\/li>\n<\/ol>\n

              \n

              VII. Performance and Force Majeure<\/p>\n

                \n
              1. \n

                The Provider shall perform the Services with due professional care and in accordance with agreed specifications.<\/p>\n<\/li>\n

              2. \n

                Neither Party shall be liable for failure or delay caused by events beyond reasonable control, including force majeure events as recognized under EU and Bulgarian law.<\/p>\n<\/li>\n

              3. \n

                Obligations are suspended for the duration of such events.<\/p>\n<\/li>\n<\/ol>\n

                VIII. Intellectual Property Rights<\/p>\n

                  \n
                1. \n

                  Unless expressly agreed otherwise in writing:
                  (a) all intellectual property rights in materials created prior to the Agreement remain with their respective owners;
                  (b) intellectual property created specifically for the Client shall be governed by the individual Agreement.<\/p>\n<\/li>\n

                2. \n

                  Website content, branding, logos, and materials remain the exclusive intellectual property of the Provider and are protected under EU and national IP laws.<\/p>\n<\/li>\n

                3. \n

                  No license is granted except for personal, non-commercial use of Website content.<\/p>\n<\/li>\n<\/ol>\n

                  IX. Data Protection and GDPR Compliance<\/p>\n

                    \n
                  1. \n

                    The Provider acts as Data Controller<\/strong> within the meaning of Article 4(7) GDPR with respect to personal data collected via the Website and in connection with the Services.<\/p>\n<\/li>\n

                  2. \n

                    Personal data are processed lawfully, fairly, and transparently for the purposes of:
                    \u2013 responding to inquiries;
                    \u2013 contract performance;
                    \u2013 legal compliance;
                    \u2013 legitimate business interests, where applicable.<\/p>\n<\/li>\n

                  3. \n

                    The legal bases for processing include Article 6(1)(b)<\/strong> (contract performance), Article 6(1)(c)<\/strong> (legal obligation), and Article 6(1)(f)<\/strong> (legitimate interests).<\/p>\n<\/li>\n

                  4. \n

                    Data subjects have the right to access, rectification, erasure, restriction, portability, and objection in accordance with Articles 15\u201321 GDPR.<\/p>\n<\/li>\n

                  5. \n

                    Personal data may be disclosed to service providers or professional advisors strictly on a need-to-know basis and subject to appropriate safeguards.<\/p>\n<\/li>\n

                  6. \n

                    Data are not transferred outside the European Economic Area unless adequate safeguards under Chapter V GDPR are in place.<\/p>\n<\/li>\n

                  7. \n

                    Further details are provided in the Provider\u2019s Privacy Policy<\/strong>, which forms an integral part of these Terms.<\/p>\n<\/li>\n<\/ol>\n

                    X. Consumer Right of Withdrawal (EU Distance Selling)<\/p>\n

                      \n
                    1. \n

                      Consumers have the right to withdraw from a distance contract within 14 days<\/strong>, in accordance with Directive 2011\/83\/EU<\/strong>, unless an applicable legal exception applies.<\/p>\n<\/li>\n

                    2. \n

                      Withdrawal does not require justification and incurs no penalties.<\/p>\n<\/li>\n

                    3. \n

                      Refunds are made within 14 days using the same payment method, unless otherwise agreed.<\/p>\n<\/li>\n

                    4. \n

                      Where Services have begun with the Consumer\u2019s explicit prior consent, the Consumer may owe proportionate compensation as permitted by EU law.<\/p>\n<\/li>\n<\/ol>\n

                      XI. Termination<\/p>\n

                        \n
                      1. \n

                        Agreements may be terminated in accordance with these Terms, applicable law, or by mutual agreement.<\/p>\n<\/li>\n

                      2. \n

                        Termination does not affect accrued rights or confidentiality and IP obligations.<\/p>\n<\/li>\n<\/ol>\n

                        \n

                        XII. Governing Law and Jurisdiction<\/p>\n

                          \n
                        1. \n

                          These Terms and any Agreement shall be governed by the laws of the Republic of Bulgaria<\/strong>, without prejudice to mandatory EU consumer protections.<\/p>\n<\/li>\n

                        2. \n

                          Courts of Sofia, Republic of Bulgaria<\/strong>, shall have exclusive jurisdiction, unless EU law grants Consumers the right to bring proceedings in their country of residence under Regulation (EU) No 1215\/2012 (Brussels I Recast)<\/strong>.<\/p>\n<\/li>\n<\/ol>\n

                          XIII. Miscellaneous<\/p>\n

                            \n
                          1. \n

                            If any provision is held invalid, the remaining provisions shall remain in force.<\/p>\n<\/li>\n

                          2. \n

                            The English version is intended for international use; in case of discrepancies, the Bulgarian version shall prevail unless mandatory EU law provides otherwise.<\/p>\n<\/li>\n

                          3. \n

                            Contracts are stored electronically and may be accessed upon written request.<\/p>\n<\/li>\n<\/ol>\n
